CONDITIONS OF SALE AND WARRANTY of UPS Solutions (www.ups-solutions.co.za)

1. PRICE BASIS

All prices are strictly net and will remain firm for the validity and delivery periods offered herein.

2. CONDITIONS OF SALE

In accordance with our Standard Conditions of Sale and Tender – UPS10/2018 APPENDIX 1, a copy of which is available on request.

3. CANCELLATION OF ORDER

Time is not of the essence and dates of delivery and of performance are furnished as business estimates only and will not be binding
as contractual obligations upon UPS Solutions. The purchaser shall not be entitled to cancel or repudiate the order or to accept
delivery on the grounds of delay on our part.

Should the purchaser require that their Purchase Order be cancelled for whatever reason, UPS Solutions reserve the option to levy
a 25% cancellation fee. Please bear in mind the customized nature of some of the products UPS Solutions sell make it difficult to
re-sell goods cancelled.

4. RETURN POLICY

If you are not 100% satisfied with your product it may be returned to UPS Solutions within 14 days from purchase provided it is
unused and in its original packaging and in accordance with the following return policies and procedures:
· Returned items must have prior authorisation for the return to be accepted and credited.
· All non-defective merchandise returned for credit must be unused and in its original packaging.
· A 25% handling fee will apply to all returns plus the return shipping charges, if applicable.
· Credit is issued upon return and inspection.

Please allow up to 7 days to receive your refund. All refunds will be issued
in the form on payment used to make your purchase.

Exclusions
The following items are not accepted for returns:
· All special order items
· All special built items
· Batteries
· All international sold items
· Goods with any missing, broken or damaged items

Requirements
For any exchange or return, UPS Solutions need the original invoice. The product must be in its original condition, including the
box, packaging and all accessories. No items that have been used, custom manufactured or made to order may be returned.

Refunds
Upon acceptance of the goods in conformity with UPS Solutions’ Return Policy requirements, the purchase price will be refunded
(less handling fees, if applicable) using the method of original payment. Once the returned product is accepted by UPS Solutions,
allow 7 days for the processing of your credit. Individual bank or financial institution policy will determine when the refund is
actually credited to your account.

5. TERMS OF PAYMENT

For account holders, payment terms are strictly as per payment terms agreed on upon credit application. For customers who do
not have prior credit arrangements UPS Solutions requires a deposit on all projects and installations. Based on the quote total and
our deposit scale, the requirement is:

· 25% deposit on any quotation over R10,000
· 50% deposit on any quotation over R25,000
· 75% deposit on any quotation over R100,000

The deposit is payable at the time of placing the order and the balance must be effected by bank transfer on delivery, unless specified
otherwise in the quotation.

Ownership of the equipment only reverts to the customer on full account settlement. Warranty and service call outs will only be
carried out for customers whose accounts are in good standing with UPS Solutions.

Should credit facilities not be available to you for whatever reason, we reserve the option of negotiating alternative payment terms
with you prior to the dispatch of the goods.

6. VALUE ADDED TAX

POWER SOLUTIONS TRUST are a registered VAT Vendor and the applicable VAT registration number is 4420170104.

7. DELIVERY

If the goods are not available ex-Bloemfontein or ex-works, Johannesburg delivery is expected between 6-12 weeks from receipt of
your full and final information.

8. VALIDITY

Unless stated otherwise in our quotation this offer is valid and open for acceptance for a period of 30 days from the date of this
offer.

9. WARRANTY

Unless otherwise stated herein we will make good, by repair or at our option, by the supply of a replacement, defects which under
proper use, appear in the goods within a period of twelve months after the goods have been delivered or, if delivery is delayed for
any reason other than as a result of our default, within a period of eighteen months after the goods have been notified as ready for
despatch (whichever period expires the earlier) and arises solely from faulty materials or workmanship or design, provided that
defective parts have been returned to us if we shall have so instructed.

A copy of Manufacturers’ warranties are available on request.

UPS Solutions will honour no warranty if the machine has been abused, overloaded or installed in a hostile environment, i.e. no
adequate ventilation or incorrect application. UPS Solutions will honour no warranty if the machine has not been installed or
commissioned by UPS Solutions technicians or UPS Solutions accredited agents.

Warranties are immediately void on breach of the UPS Solutions or manufacturers’ warranty seal.

UPS Solutions’ warranty excludes Acts of God and damage caused by lightning or utility excessive spikes and surges.

The purchaser is solely responsible for ensuring that the site installation has been inspected and is safe and complies with local
ordinances and that both the product and the site of installation is suited for the intended use. The purchaser alone is responsible
for ensuring that the products purchased are suitable for and compatible with any other equipment to be utilised in conjunction
with the products sold.

Defects in the product caused by incorrect operation of the products sold, by misuse, neglect, unauthorised alteration or
incompatible usage or damage in transit will void this warranty.

UPS Solutions will not be liable to anyone for any direct loss, or consequential loss or damage of any nature whatsoever, resulting
from the malfunction of the product.

This warranty specially excludes any implied warranty against latent defect, any implied warranty as to merchantability or as to
fitness for purpose and is given and accepted expressly

Please note that ourwarrantymay be limited or withdrawn, at our discretion, should our products be installed and/or commissioned
by, in our opinion, unqualified personnel who we deem are not competent in installing the products we supply.

Repairs and services:

Where a UPS is “hard wired” to an electrical distribution board and typically too large to move with their large sets of batteries,
once installed, these UPS’s will be guaranteed on an “on site” basis as follows:
The warranty covers parts, labour and site time only. Any costs for travel to and from the site will be charged for at UPS Solution’s
Standard rates. Extended warranty contracts can be negotiated to suit the application.
For UPS units repaired or serviced on site or at UPS Solutions’ offices a threemonths warranty from date of work carried out applies.
Twelve months warranty on batteries replaced by UPS Solutions’ technicians only applies. UPS Solutions’ obligation under this
warranty is limited only to the specific work carried out. Hypothetically, if the batteries were replaced, excluding the charger, and
the charger later malfunctions, leading to battery failure, the warranty will not cover either.

On site UPS Services and repairs:

It is assumed that the UPS system is equipped with a MBS (maintenance bypass switch) to allow a no-break shutdown of the UPS
without load losses. If the UPS is not equipped with aMBS UPS Solutions are required to shut down the UPS, which will lead to load
loss during the repair or service period.
Upon further inspection of the UPS it is found that additional spares may be required a separate quotation will be provided.
All equipment services excludes parts and batteries, unless otherwise stated in our offer.

UPS Solutions service centre repairs:

Quoted repair costs are based on a visual inspection of the item and such price does not include any spares other than those listed.
Upon further inspection of the UPS it is found that additional spares may be required a separate quotation will be provided.

Repair items not collected within three months of completion of such repair, will be sold to defray expenses.

Warranty on Repairs is 3 months from date of completion, only on actual work carried out. Goods handed in for repairs will not be
released until all charges thereto have been settled in full.
